Our Outside General Counsel Program is built for the space in between. You get a dedicated attorney who knows your business, your contracts, and your cap table, available on a defined response time for a flat monthly fee. No meter runs on a five-minute question, so we hear about problems while they are still small. The job is to keep pace with how fast you move without letting that speed cost you your protection.
Predictable by design. The monthly fee covers your recurring legal work. Anything more substantial is scoped and quoted in writing before it starts and you will never see an invoice you did not approve.

- Unlimited questions by email and phone within your tier’s response time — no per-question charge and no minimum increments
- A standing strategy meeting to review what is ahead rather than react to what already happened
- A dedicated attorney who knows your business, so you are not re-explaining your company every time you call
- Legal triage on anything that lands, including matters we will then scope and quote for you
- Coordination with your accountants, bankers, insurance brokers, and specialist counsel
Commercial Contracts
- Drafting and maintenance of your core contract templates — master services agreements, statements of work, order forms, and mutual NDAs
- Review and negotiation of inbound and outbound agreements within your tier’s monthly volume
- Vendor, supplier, reseller, and channel partner agreements
- Independent contractor and consultant agreements, including intellectual property assignment provisions
- Customer terms of service, end user license agreements, and acceptable use policies
- Data processing addenda and standard security and confidentiality riders
Corporate Governance and Maintenance
- Board and stockholder consents, resolutions, and meeting minutes
- Minute book and corporate record maintenance, kept current and diligence-ready
- Annual reports, franchise tax filings, registered agent matters, and foreign qualification in new states
- Charter and bylaw review, and routine amendments
- Cap table review and reconciliation against underlying documents

Onboarding fees are billed separately: $1,000 for Tier 1 and Tier 2, $2,500 for Tier 3.
Onboarding
A one-time fee covers your intake: a review of your corporate records, charter documents, cap table, equity plan, and existing contract forms, followed by a written summary of what is in order and what needs attention. This gives us the working knowledge to answer questions quickly from day one, and gives you a clear picture of where you stand.
Unused capacity in a given month does not carry forward.
What Falls Outside the Subscription.
When a Matter Gets Scoped Separately
You will always know in advance. A matter is scoped and quoted separately if any one of the following is true:
- Opposing counsel is negotiating a non-template agreement on the other side
- Our good-faith estimate of the work exceeds four attorney hours
- The matter involves a regulator, a government filing, or a tribunal
